Sbrain Terms of Service
Effective from 9 September 2026.
1. Service Provider
The Sbrain service is provided by Grzegorz Rydzkowski, a sole trader, ul. Starogardzka 31, 80-180 Borkowo, Pomorskie, Poland, tax identification number (NIP): 9571001084, statistical identification number (REGON): 38825947300000, email: contact@owline.pl, referred to below as the “Service Provider”.
These Terms govern the provision of electronic services available in the Sbrain application and the rights and obligations of the Service Provider and users.
2. Key definitions
- Application — the Sbrain web application.
- User — a person using the Application.
- Account — the individual part of the Application available after signing in.
- Free Plan — the free version of the Application with the limits stated in the Application.
- Pro Plan — the paid version of the Application with the features and price stated before purchase.
- Consumer — a consumer within the meaning of the Polish Civil Code, including a business owner entitled to consumer protection where the law grants such rights.
3. Scope of the service
Sbrain is a personal planner and CRM tool for freelancers. It helps organise tasks, clients, projects, estimates, working hours, finances, reminders, lists, notes and other information within the scope of the selected plan.
The detailed features, limits and current Pro Plan price are presented in the Application. This information forms part of the offer applicable when the agreement is entered into.
4. Technical requirements
To use the Application, you need:
- a device with Internet access and an up-to-date browser supporting JavaScript and cookies;
- an active email address;
- for the Pro Plan, a payment method accepted by the payment provider.
The User is responsible for the security of their device, email account and sign-in details. They should use a unique password and must not share their Account with others.
5. Account and formation of the agreement
- Creating an Account requires a full name, email address and password, followed by email verification.
- The agreement for the Free Plan is entered into once the Account has been successfully created and activated.
- The User must provide accurate and current information. A person should not create Accounts to circumvent limits.
- A User with limited legal capacity may use the Application only to the extent permitted by law and with the consent of their legal representative where required.
- An Account is intended for one person. The User is responsible for actions performed using their access details unless those actions result from circumstances for which they are not responsible.
6. Use of the Application and User content
The User must not:
- provide unlawful content or content that infringes third-party rights;
- use the Application for abuse, fraud, distributing malware or disrupting the service;
- attempt to access other people’s Accounts, data or security mechanisms;
- circumvent the Application’s limits, authorisation mechanisms or technical restrictions.
The User retains their rights to content stored in the Application. They grant the Service Provider non-exclusive permission to store, make technical copies of and process that content only as necessary to provide, secure and maintain the service.
If the User enters personal data or materials concerning other people, they are responsible for having a legal basis for using them and for fulfilling their own obligations towards those people.
7. Pro Plan and payments
- The Pro Plan is a recurring monthly subscription priced at $5.99 per month; for payers in Poland the price is 24,99 zł, and for other countries the price and currency are shown before purchase. The next billing date is shown in the Account panel.
- Paddle handles payments, tax calculation and payment documents as the merchant of record. The User may also be bound by the payment terms presented by Paddle before purchase.
- The subscription can be cancelled in Account settings. Cancellation takes effect at the end of the paid period; the User retains Pro Plan access until then.
- When the Pro Plan ends, the Account moves to the Free Plan. Data is not automatically deleted solely because Free Plan limits are exceeded, but some features may become unavailable.
- Promotions and temporary Pro Plan access are subject to the terms stated when granted and do not suspend an independently active paid subscription.
8. Availability, maintenance and changes
The Service Provider aims to keep the Application continuously available but may temporarily restrict access for maintenance, updates, security, outages or events beyond their reasonable control. Where possible, significant planned interruptions will be announced with reasonable notice.
The Application may change for justified reasons, particularly to improve security, legal compliance, compatibility or functionality. A change does not deprive Consumers of rights under mandatory laws on the conformity of digital services with the agreement.
9. Liability
Sbrain is a tool that supports work organisation. It does not provide accounting, tax, legal or financial services, and the User must verify calculation results and reminders before making decisions.
The Service Provider is liable under applicable law. In relation to Users who are not Consumers, the Service Provider is not liable for lost profits or indirect damage, except for damage caused intentionally. Nothing in these Terms restricts Consumer rights or liability that cannot legally be excluded by agreement.
10. Complaints
- Complaints can be sent to contact@owline.pl.
- Please include the Account email address, a description of the problem, when it occurred and the requested resolution. Do not send passwords, sign-in codes or other secrets.
- The Service Provider will respond to a Consumer’s complaint within 14 days of receipt. Other complaints will be answered without undue delay.
- Consumer rights where a digital service does not conform to the agreement arise from the Polish Consumer Rights Act and are not restricted by these Terms.
11. Consumer withdrawal from the agreement
A Consumer may withdraw from a distance agreement within 14 days of entering into it without giving a reason. It is sufficient to send an unambiguous statement to contact@owline.pl before that period expires. The Consumer may, but does not have to, use the statutory model withdrawal form.
If, at the Consumer’s express request, a paid service begins before the withdrawal period expires, the Consumer may be required to pay proportionately for the service provided up to withdrawal, only in the cases provided for by law. Access to the service may end following withdrawal, and payments will be settled in accordance with applicable law.
Example statement: “I hereby withdraw from the agreement to use Sbrain entered into on [date].” The statement should include the Consumer’s full name and details identifying the Account. A signature is required only for a form sent on paper.
12. Termination and Account deletion
- The User may terminate the agreement at any time by deleting their Account in settings. Deletion of the Account and its data is irreversible.
- If the Account has an active subscription, it ends in accordance with the Pro Plan rules; when the Account is deleted, the Service Provider requests its immediate cancellation.
- The Service Provider may block the Account or terminate the agreement if the User seriously or persistently breaches these Terms or the law, threatens the security of the Application or fails to pay required fees. Where circumstances permit, the User will first be asked to remedy the breach.
- Before deleting the Account, the User should save any data they still need outside the Application.
13. Changes to these Terms
These Terms may change for an important reason: changes in the law, an authority’s requirement, the scope or manner of providing the service, security, or technical and payment conditions. The User will be notified by email of changes affecting an ongoing agreement, with notice appropriate to the nature of the change. If they do not accept a change, they may terminate the agreement before it takes effect.
14. Final provisions
The agreement is governed by Polish law. This choice of law does not deprive a Consumer of the protection afforded by mandatory laws in their country of habitual residence. Disputes will be resolved by the court having jurisdiction under applicable law.
Consumers may use out-of-court complaint and dispute resolution procedures, particularly the assistance of the relevant regional Trade Inspection office or municipal or district consumer ombudsman. Information is available at polubowne.uokik.gov.pl.
